Welcome to Runway! These Terms of Service (“Terms”) govern your use of our eSIM services, website, and any related products or services provided by Runway. By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

1. Acceptance of Terms

By using Runway, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Services Provided

Runway offers eSIM services that allow you to access mobile data in various countries. Our services include the purchase, activation, and management of eSIM plans. We strive to provide reliable and high-quality services, but we cannot guarantee uninterrupted or error-free operation.

3. User Responsibilities

• Accurate Information: You agree to provide accurate and complete information when creating an account or purchasing our services.
• Prohibited Activities: You must not use our services for any illegal, fraudulent, or unauthorised purposes. This includes, but is not limited to, tampering with our systems, attempting to gain unauthorised access, or violating any applicable laws.
• Device Compatibility: It is your responsibility to ensure that your device is compatible with our eSIM services. Runway is not liable for any issues arising from incompatible devices.

4. Purchases and Payments

• Payment: All purchases must be paid for in full at the time of purchase. We accept various payment methods, which will be displayed at checkout.
• Taxes: Prices displayed are exclusive of taxes, which may be added at checkout depending on your location.
• Refunds: Refunds are subject to our Refund Policy, which is incorporated into these Terms. Please review the Refund Policy for details.

5. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data. By using our services, you agree to the terms of our Privacy Policy.

6. Intellectual Property

All content, trademarks, logos, and software associated with Runway are the property of Runway or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use our services for personal, non-commercial purposes only. You may not copy, modify, distribute, or create derivative works based on our content without prior written consent.

7. Limitation of Liability

Runway is not liable for indirect, incidental, or consequential damages (e.g., loss of data, profits, or service interruption). Total liability for any claim will not exceed the amount paid for the services in question.

Notwithstanding any other provision in these Terms, Runway, AMNOVA (our parent brand), and any of their respective affiliates, officers, directors, employees, agents, or representatives (collectively, “the Entities”) explicitly disclaim and accept no liability whatsoever for any direct, indirect, incidental, special, consequential, or exemplary losses, damages, costs, or expenses, including but not limited to loss of data, loss of profits, business interruption, loss of reputation, or any other negative consequence, whether foreseeable or not, arising out of or in connection with any downtime, unavailability, interruption, suspension, degradation, or performance failure of the eSIM services. This exclusion of liability applies regardless of the cause of such downtime or failure, including, but not limited to, network outages, scheduled or unscheduled maintenance, technical malfunctions, acts of third parties, force majeure events, or any other event beyond the Entities’ reasonable control. The user acknowledges and unequivocally agrees that the use of the services is at their sole risk, and they bear all risks associated with service downtime and its potential consequences, and expressly waive any right to claim against the Entities for any such losses, damages, or consequences.”

8. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for any reason, including but not limited to violations of these Terms. You may also terminate your account at any time by contacting our support team.

9. Changes to Terms

Runway may update these Terms from time to time. We will notify you of any significant changes via email or through our website. Your continued use of our services after such changes constitutes your acceptance of the updated Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or related to these Terms or our services shall be resolved exclusively in the courts of the United Kingdom.

11. Account Security

• You are responsible for maintaining the confidentiality of your account credentials (e.g., username and password).
• You must notify us immediately if you suspect any unauthorised access to or use of your account.
• Runway is not liable for any loss or damage arising from your failure to protect your account information.

12. Third-Party Services

• Our services may include links to or integrations with third-party websites, apps, or services.
• Runway is not responsible for the content, privacy practices, or availability of these third-party services.
• Your use of third-party services is at your own risk and subject to their terms and policies.

13. Force Majeure

Runway  is not liable for any failure or delay in performing our obligations due to events beyond our reasonable control. This includes, but is not limited to, natural disasters, pandemics, acts of terrorism, or government restrictions.

14. Dispute Resolution

• In the event of a dispute, we encourage you to contact us first to resolve the issue amicably.
• If a resolution cannot be reached, disputes may be resolved through arbitration or mediation, as agreed by both parties.

15. Prohibited Use of Services

• You agree not to use our services in any way that could harm, disable, overburden, or impair our systems or interfere with other users’ enjoyment of the services.
• Prohibited activities include, but are not limited to, spamming, hacking, or distributing malicious software.

16. Feedback and Suggestions

Any feedback, suggestions, or ideas you provide to Runway regarding our services may be used by us without any obligation to compensate you.

17. Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Runway regarding your use of our services. Any prior agreements, representations, or understandings are superseded by these Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

19. No Waiver

Failure by Runway to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

20. Age Restriction

Our services are intended for users who are at least 18 years old. If you are under 18, you may only use our services with the consent and supervision of a parent or guardian.

21. Compliance with Laws

• You agree to comply with all applicable laws, regulations, and third-party agreements when using our services.
• Runway reserves the right to cooperate with law enforcement authorities or court orders requiring or directing us to disclose information about users.

22. Beta or Trial Services

• If Runway offers beta or trial services, include terms such as:
  • Beta services are provided “as-is” and may contain bugs or errors.
  • We are not obligated to provide support or continue offering beta services.
  • Your use of beta services is at your own risk.

23. No Partnership or Agency

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Runway.

24. Data Usage and Fair Use Policy

• Runway reserves the right to monitor data usage to ensure fair and reasonable use of our services.
• Excessive or abusive data usage (e.g., using the service for commercial purposes, resale, or unauthorised sharing) may result in throttling, suspension, or termination of your account.

25. Service Interruptions and Maintenance

• Runway may occasionally need to perform maintenance or updates, which could result in temporary service interruptions.
• We will endeavour to provide advance notice of planned maintenance, but we are not liable for any inconvenience or losses caused by such interruptions.

26. Export Control

• You agree to comply with all applicable export control laws and regulations.
• You must not use our services in any country or region subject to embargoes or sanctions by the UK, EU, or US governments.

27. No Guarantee of Service Availability

• While we strive to provide reliable services, Runway does not guarantee that our services will be available at all times or in all locations.
• Factors such as network coverage, device compatibility, and local regulations may affect service availability.

28. User Conduct and Prohibited Activities

• You agree not to use our services for any unlawful, abusive, or harmful purposes, including but not limited to:
  • Spamming, phishing, or distributing malware.
  • Harassing, defaming, or threatening others.
  • Violating intellectual property rights.
• Runway reserves the right to investigate and take appropriate action against any user engaging in prohibited activities.

29. Feedback and Testimonials

• By submitting feedback, testimonials, or reviews, you grant Runway the right to use, modify, and publish your content for promotional or operational purposes.
• If you wish to remove your feedback, please contact us, and we will make reasonable efforts to accommodate your request.

30. No Responsibility for Third-Party Content

• Runway is not responsible for any content, products, or services provided by third parties, including advertisers, partners, or other users.
• Any interactions with third parties are solely between you and the third party, and we are not liable for any disputes or damages arising from such interactions.

31. Right to Modify or Discontinue Features

• Runway reserves the right to add, modify, or discontinue features or functionalities of our services at any time.
• We will provide reasonable notice of significant changes that may affect your use of the services.

32. No Endorsement of Third Parties

• Any reference to third-party products, services, or websites does not constitute an endorsement by Runway.
• We are not responsible for the quality, accuracy, or reliability of third-party offerings.

33. User Acknowledgment of Risks

• You acknowledge that using eSIM services involves certain risks, including but not limited to:
  • Network outages or disruptions.
  • Device compatibility issues.
  • Data security and privacy risks.
• Runway is not liable for any damages or losses resulting from these risks.

You acknowledge and expressly accept all risks associated with the use of eSIM services. This includes, but is not limited to, risks related to network outages, service downtime, device compatibility issues, data security risks, and any other technical or operational interruptions. You understand and agree that Runway and AMNOVA are not liable for any damages or losses arising from these acknowledged risks, including any consequences or losses incurred due to service downtime or unavailability, as more fully detailed in our Limitation of Liability section

34. No Guarantee of Accuracy

• While we strive to provide accurate and up-to-date information, Runway does not guarantee the accuracy, completeness, or reliability of any content on our website or services.
• You are responsible for verifying any information before relying on it.

35. Right to Refuse Service

• Runway reserves the right to refuse service to anyone for any reason, including but not limited to:
  • Violation of these Terms.
  • Suspicion of fraudulent or abusive behaviour.
  • Non-payment or disputed charges.

36. Survival of Obligations

Certain obligations, such as payment of fees, indemnification, and limitations of liability, will survive the termination of these Terms.

37. No Third-Party Beneficiaries

These Terms are solely for the benefit of you and Runway . No third party has the right to enforce or derive any benefit from these Terms.

38. Language of Agreement

These Terms are provided in English. Any translations are for convenience only, and the English version shall prevail in the event of a dispute.
